In order to form a corporation, articles of incorporation must be executed and filed with the Department of State by one or more members or authorized representatives of the limited liability company. The articles of incorporation shall set forth the following and additional information as required:
1. The name of the corporation.
2. The mailing address and the street address of the principal office of the corporation.
3. The Florida street address of the registered agent of the corporation.
The articles of incorporation are executed by at least one director or authorized representative.
There are restrictions on the words that a corporation can contain. However, most of the restrictions are in place to ensure that your corporate name does not mislead the general public or imply that the business is a different type of entity than it actually is. For example, you cannot make your corporate name “Acme LLC” if you have not filed the necessary documents with your Secretary of State to legally form an LLC.
